QYOU Media Inc. is buying Chtrbox, an influencer advertising firm

QYOU Media Inc. (TSXV: QYOU) (OTCQB: QYOUF) is pleased to announce that it has entered into a definitive share purchase agreement to acquire 100% of the issued and outstanding shares of Chatterbox Technologies Private Limited (brand name: Chtrbox). a leading award-winning influencer marketing company based in India.

Founded in 2016 from Mumbai and Delhi, Chtrbox is a leader in data-driven influencer marketing and endorses India Top brands for telling great stories in a big way. Under the share purchase agreement, QYOU Media has agreed to initially purchase the majority of Chatterbox’s issued and outstanding shares from Chatterbox shareholders. The initial purchase price is based on a multiple of EBITDA for the past year March 31, 2021 with a three-year earn-out for the remainder of the shares based on subsequent EBITDA multiples for the ending twelve-month periods March 31, 2022, March 31, 2023 and March 31, 2024, respectively. Completion of the acquisition is subject to the closing conditions customary for transactions of this type.
